a) Exclusively represented Millicom International and its local subsidiary mobile operator, Telecel SA as issuer in the international bond offering under Regulation S / Rule 144 for a total amount of US$ 300,000,000.
b) Acted as exclusive legal advisors of Citibank, BofA/Merrill Lynch and JP Morgan in the only four international sovereign bond issuance (Reg S/ R144) of the Republic of Paraguay.
c) Acted as legal counsel for BBVA Paraguay in the international bond offering (Reg S / R.144) for a total value of US$ 100,000,000.
d) Advised HSBC Group in the sale of its local branch to GNB Group of Colombia in a multi-jurisdictional regional simultaneous sale of its financial business.
e) Advised the Inter-American Development Bank (IDB) and Corporación Andina de Fomento (CAF) as lenders in a cement plant infrastructure investment for US$ 100,000,000.
f) Advised Noble Grain, one of the biggest producers / traders of grains and commodities in the world, in the development of an infrastructure project in Paraguay.
g) Advised Southern Cross Capital Management (Private Equity Fund) on the acquisition of equity in Ultrapetrol (Bahamas) Limited.
h) Acted as advisors to Citibank Paraguay in the sale of its credit card business to BBVA Paraguay.
i) Advised Petrobras Paraguay in all matters related to the corporate restructuring of its business in Paraguay.
j) Advised Cosan Group in matters related to the incorporation of their business operations in Paraguay and distribution and representation matters.
k) Advised Noble Group in the acquisition of assets of an agribusiness for the value of US$ 19,000,000.
l) Advised Compañia Cervecerías Unidas S.A. – one of the largest Chilean beverage companies – in acquiring a stake in the Paraguayan companies: Bebidas del Paraguay S.A. and Distribuidora del Paraguay S.A.
m) Acted as advisors to the Inter-American Development Bank (IDB), the International Finance Corporation (IFC) and Banco Santander S.A., in a US$ 238,000,000 financing transaction to Hidrovias do Brasil S.A. and its subsidiary in Paraguay, for the acquisition and maintenance of a fleet and port facilities in the Parana-Paraguay Waterway.

In line with our commitment to contribute in the construction of a more just society, our Firm is actively engaged in a pro bono program that provides legal assistance at no cost to the most unprotected sectors of the Paraguayan society, including individuals, associations and community groups.
To this end, Gross Brown law firm has signed the Adherence Letter to the “Pro Bono Program for Legal Volunteers” (“Programa de Abogacía Pro Bono – Voluntarios Legales”) and the “Pro Bono Work Declaration for the Americas” (“Declaración del trabajo Pro Bono para el Continente Americano”).
The goal of the Pro Bono Program for Legal Volunteers is to develop the pro bono culture in the Paraguayan legal sector, through a system of optional free legal assistance based on a Pro Bono Network.
The goal of the Pro Bono Declaration is to set forth the rules that will regulate the responsibility of the lawyers involved in the Pro Bono network. With the signature of this Declaration, the signatories commit to perform minimum hours of pro bono work.
Our Firm has a Pro Bono Department led by Partner Eduardo Gross Brown, along with other lawyers and paralegals in charge of receiving the service requests, and distributing the pro bono cases to lawyers of our Firm, who are strongly committed to the program.
The Firm has signed a pro bono work commitment with the nonprofit association “Pequeño Cottolengo – Obra Don Orione” (dedicated to assisting poor handicapped people) to render legal counseling to individuals who are assisted in the mentioned nonprofit association.
