Sigfrido is Partner in the corporate and finance groups of our Firm. He rejoined the Firm after ten years practicing in the United States and Spain, at firms such as Shearman & Sterling LLP (New York), and Freshfields Bruckhaus Deringer LLP (Barcelona). He has a strong M&A practice, including share and asset purchase, as well as joint ventures. In his role as a senior lawyer for major international firms, Sigfrido has regularly lead teams in cross border transactions both as deal counsel and as local counsel.

Experience

Sigfrido has advised the Inter-American Development Bank and Corporación Andina de Fomento (CAF) in the financing of a cement plant facility (USD 100,000,000) as well as in the financing of a crushing plant facility in Villeta (USD 120,000,000). He has also advised the Inter-American Development Bank, the International Finance Corporation (IFC) and Banco Santander in a USD 130,000,000 finance operation for the construction and operation a fleet and other facilities for the transportation of iron ore through the Hidrovias Waterway; Rabo Bank and ING Bank in several pre export facilities to local Paraguayan soyabean exporters; Bank of America / Merril Lynch,  Goldman Sachs, Bank of Tokyo Mitsubishi, JP Morgan Chase, Morgan Stanley among others, as lenders and security agents in facility agreements for project financing and acquisitions.

As a lawyer in Spain, he has acted as legal advisor in several international M&A transactions, such as the acquisition by a private equity group of ONO; the sale of the Caprabo Group to Eroski, among others.

His recent experience in Paraguay includes advising Compañía Cervecerías Unidas S.A. (CCU), a major Chilean and Argentinean beverage company, in acquiring a relevant stake in Bebidas del Paraguay S.A. and Distribuidora del Paraguay S.A., one of the largest beverage business in the country in a USD 26,000,000 transaction; advising Southern Cross Capital Management, Inc. in the acquisition of a local riverway transportation company; Citibank N.A. in a USD 13,000,000 sale of its credit card business to BBVA; the Cosan Group in incorporating their business in Paraguay and Petrobras in the restructuring of its local business.

Sigfrido has advised foreign infrastructure players in their business in Paraguay, including Aguas de Barcelona (Suez Group) in two successful public bids in the water sector and Anas S.p.A. in several road construction consulting bids. He also advises the most relevant financial institutions in the financing of public-private partnership projects, as well as foreign construction companies in such infrastructure schemes. Sigfrido has actively participated in discussions with the Government and the private sector to advance adequate legislation and public contract provisions for private-public partnerships.

Sigfrido has advised, among others, Japan Airlines in the termination of its General Sales Agency Agreement with its Paraguayan agent; Hapag Lloyd AG in the restructuring of its commercial operations in Paraguay; Fresenius AG in the negotiation and execution of a distribution agreement; Barilla Group and Eni S.p.A. in commercial matters and the execution of distribution agreements with local counterparties.
